This Assignment and Assumption Agreement (the "Agreement") is made as of February 16, 2011 (the "Effective Date"), by and between Real Estate Associates Limited V, a California limited partnership ("Assignor"); Randel Corporation, a Nevada corporation, or its nominee ("Assignee"); and Dennis D.
