EMPLOYMENT AGREEMENT executed as of this 22nd day of December, 2009 (“Agreement”) among ARROW FINANCIAL CORPORATION, a New York corporation with its principal place of business at 250 Glen Street, Glens Falls, New York 12801 ("Arrow"), its wholly-owned subsidiary, SARATOGA NATIONAL BANK AND TRUST COMPANY, a national banking association with its principal place of business at 171 South Broadway, Saratoga Springs, New York 12866 (the "Bank"), and Raymond F. O’Conor, residing at 19 Carlyle Terrace, Saratoga Springs, New York 12866 (the "Executive"). The effective date of this Agreement (“Effective Date”) shall be January 1, 2010. Capitalized terms used herein and not otherwise defined herein shall have the meanings set forth in Paragraph 11 of this Agreement.
