This Note may not be sold, pledged, transferred or assigned except in a transaction which is exempt under provisions of the Securities Act and any applicable state securities laws or pursuant to an effective registration statement; and in the case of an exemption, only if the Company has received an opinion of counsel satisfactory to the Company that such transaction does not require registration of this Note. This Amended and Restated Securities Purchase Agreement (the “Agreement”) is made and entered into as of June 9, 2016 (the “Effective Date”), and amends and restates, in its entirety, that certain Share Subscription Agreement (“Prior Agreement”) made and entered into as of November 20, 2015, by and between Boston Carriers, Ltd., a Marshall Islands company, of Trust Company Complex, Ajeltake Road, Ajeltake Island, Majuro MH96960, Marshall Islands (the “Predecessor”), and YP Holdings, LLC, a Texas limited liability company, of 6002 Costera Lane, Dallas, Texas (“Subscriber”).
