THIS AGREEMENT is made as of April 11, 2006 by and among each of the separate series of the Quantitative Group of Funds d/b/a the “Quant Funds” (each a “Fund” and together, the “Funds”) and Quantitative Investment Advisors, Inc. (the “Manager”) (the Funds and Manager are collectively referred to as the “Insureds”).
