SEVENTH AMENDMENT, dated as of May 29, 2013 (this “Amendment”), among AVIS BUDGET HOLDINGS, LLC (“Holdings”), AVIS BUDGET CAR RENTAL, LLC (the “Borrower”), the New Tranche B Term Lenders (as defined below) and JPMORGAN CHASE BANK, N.A., as administrative agent (the “Administrative Agent”). J.P. Morgan Securities LLC and Deutsche Bank Securities Inc. are acting as joint lead arrangers in connection with this Amendment and the New Tranche B Term Facility (as defined below) (collectively, the “Joint Lead Arrangers”).
