SUPPLEMENTAL INDENTURE (this "Supplemental Indenture"), dated as of May 20, 2004, among Alfa Lighting, Inc. and Modulight LLC (each a "Guaranteeing Subsidiary"), each a subsidiary of Juno Lighting, Inc.
