This SECURITY AGREEMENT, effective as of December 30, 2015 (as amended, restated or otherwise modified from time to time, this “Agreement”) made by DraftDay Fantasy Sports, Inc. (formerly known as Viggle Inc.), a Delaware corporation (the “Company” or the “Grantor”), in favor of Sillerman Investment Company IV, LLC (the “Secured Party”).
