This Participant Agreement (the “Agreement”) is made as of the 30th day of May, 2008 (effective January 1, 2008), between Capital City Bank Group, Inc., a Florida corporation (the “Company”), and NAME (“Participant”). Capitalized terms used and not otherwise defined herein shall have the meanings attributed thereto in the Capital City Bank Group, Inc. 2005 Associate Incentive Plan (the “Plan”).
