This AMENDED AND RESTATED AGREEMENT is made as of the 1st day of January, 2013, as amended the 20th day of August, 2013 (with respect to the name change of the fund), by and between OPPENHEIMER GLOBAL HIGH YIELD FUND (the "Fund"), and OFI Global Asset Management, Inc. (“OFI Global”).
