THIS AGREEMENT AND DECLARATION OF TRUST is made as of August 15, 2013, as amended as of December 28, 2016 to reflect the change in the name of the Trust from “Oppenheimer International Value Fund” to “Oppenheimer International Equity Fund”, for the purpose of forming a Delaware statutory trust in accordance with the provisions hereinafter set forth.
