THIS AGREEMENT is made and entered into on this 14th day of December, 2017 by and among OppenheimerFunds, Inc., a Colorado corporation (the "SubAdviser"), and Pictet Asset Management SA, a corporation organized under the laws of Switzerland (the "Sub- SubAdviser").
