AMENDMENT NO. 3 TO THE CREDIT AGREEMENT among ALPHARMA INC., a Delaware corporation ("Holdings"), the banks, financial institutions and other lenders party hereto, and BANK OF AMERICA, as administrative agent and collateral agent (the "Administrative Agent"), as parties to the Credit Agreement referred to below.

This AGREEMENT (the "Agreement") is hereby entered into as of November 25, 2003 by and between Purepac Pharmaceutical Co., a Delaware corporation, with a place of business at 200 Elmora Avenue, Elizabeth, NJ 07207, and IVAX Pharmaceuticals, Inc., a Florida corporation, with a place of business at 4400 Biscayne Boulevard, Miami, FL 33137.

Pursuant to that certain Letter Agreement, dated July 15, 2003 (the "July Letter Agreement"), Alpharma Inc. (the "Company") granted to you an Incentive Package (as defined therein) to encourage you to remain part of implementing the strategy that has been, and will in the future be, developed for the Company's Animal Health Division ("AHD").
