This Fund Participation Agreement (the "Agreement"), effective as of December 31, 2007, is made by and among Pruco Life Insurance Company of New Jersey ("Company"), JPMorgan Insurance Trust (the "Trust"), the Trust’s investment advisor, JPMorgan Investment Advisors Inc. (the “Adviser”), and the Trust's administrator, JPMorgan Funds Management, Inc. (the "Administrator”).
