Reference is hereby made to that certain Asset Purchase Agreement, dated as of the date hereof (the “APA”), by and among HH and Piston Acquisition, Inc., a New York corporation (“PAI”). Capitalized terms used but not defined herein have the meanings ascribed to them in the APA.
