THIS AGREEMENT, made and entered into as of this 1st day of August, 2011, among SUN LIFE ASSURANCE COMPANY OF CANADA (U.S.) and SUN LIFE INSURANCE AND ANNUITY COMPANY OF NEW YORK (each referred to as the "Company"), Delaware and New York life insurance companies respectively, on its own behalf and on behalf of each separate account of the Company set forth on Schedule A hereto, as such Schedule may be amended from time to time (each such account hereinafter referred to as the "Account"), PUTNAM VARIABLE TRUST (the "Trust"), a Massachusetts business trust, and PUTNAM RETAIL MANAGEMENT LIMITED PARTNERSHIP (the "Underwriter"), a Massachusetts limited partnership.

THIS AGREEMENT, dated as of the 1st day of August, 2011, by and among Sun Life Assurance Company of Canada (U.S.), a Delaware life insurance company, and Sun Life Insurance and Annuity Company of New York, a New York life insurance company (collectively, the “Company”), on its own behalf and on behalf of each segregated asset account of the Company set forth on Schedule A hereto as may be amended from time to time (each account hereinafter referred to as the “Account”), PIMCO Equity Series VIT (the “Fund”), a Delaware statutory trust, and PIMCO Investments LLC (the “Underwriter”), a Delaware limited liability company.
