This First Amendment to Note Purchase Agreement (this “First Amendment”) dated as of June 30, 2020 is between Ross Stores, Inc., a Delaware corporation (the “Company”), and each of the institutions that is a signatory to this First Amendment (collectively, the “Required Holders”).
