THIS AMENDED AND RESTATED AGREEMENT is made as of December 31, 2008 by and between Jeffrey Scott Musser ("Employee") and Expeditors International of Washington, Inc., a Washington corporation ("Employer"), which amends and restates the employment agreement dated April 1, 2005.
