Upon management’s recommendation, the Management Development and Compensation Committee (the “Committee”) of the Brady Corporation Board of Directors has awarded to ______________ (“Employee”) a restricted stock unit award effective _____________, 20XX pursuant to the terms of the Brady Corporation 2012 Omnibus Incentive Stock Plan (the “Plan”).
