THIS THREE-YEAR CREDIT AGREEMENT, dated as of October 25, 2012 (the “Agreement”) between SOUTH CAROLINA ELECTRIC & GAS COMPANY, a South Carolina corporation (the “Borrower”), the lenders identified herein and such other lenders as may hereafter become a party (the “Lenders”), and WELLS FARGO BANK, NATIONAL ASSOCIATION, as administrative agent (in such capacity and its successors and assigns, the “Agent”), Issuing Bank and Swingline Lender, CREDIT SUISSE AG, CAYMAN ISLANDS BRANCH and UBS LOAN FINANCE LLC, as Documentation Agents (the “Documentation Agents”) and BANK OF AMERICA, N.A. and MORGAN STANLEY SENIOR FUNDING, INC. as Co-Syndication Agents (the “Syndication Agents”).
