This Settlement Agreement (“Settlement Agreement”) is made and entered into this 11th day of February, 2015 (the “Execution Date”), by and between USG Corporation, United States Gypsum Company and L&W Supply Corporation (collectively, “USG”) and the Direct Purchaser Plaintiffs (“Plaintiffs”), individually and on behalf of a class of direct purchasers of Wallboard, as defined below.
