This Supply Agreement (“Agreement”), dated as of October 31, 2016 (the “Effective Date”), is by and among United States Gypsum Company, a Delaware corporation (“US Gypsum”), USG Interiors, LLC, a Delaware limited liability company (“USG Interiors”), L&W Supply Corporation, a Delaware corporation (together with its subsidiaries, “Distributor” or “L&W”), American Builders & Contractors Supply Co., Inc., a Delaware corporation (the “Parent Guarantor”) (for the limited purpose of Section 21), and USG Corporation, a Delaware corporation (the “Seller Guarantor”) (for the limited purpose of Sections 11, 13, and 22). The Distributor and the Seller are referred herein individually as a “Party” and together as the “Parties”.
