The undersigned, Morgan Stanley & Co. LLC and RBC Capital Markets, LLC, as underwriters (collectively, the “Underwriters”), hereby offer to enter into this Bond Purchase Contract, including the appendices hereto (the “Purchase Contract”) with you, the Honorable John Chiang, Treasurer of the State of California (the “State Treasurer”), as agent for sale, the California Pollution Control Financing Authority (the “Authority”) and San Jose Water Company (the “Borrower”), for the purchase by the Underwriters and the issuance and sale by the Authority of the Bonds specified below.
