We refer to the Equity Distribution Agreement, dated October 29, 2024 (the “Equity Distribution Agreement”), by and among SJW Group, a Delaware corporation (the “Company”) and you, as the Agents thereunder, relating to up to $200,000,000 aggregate offering price of common stock, par value $0.001 per share (the “Securities”), of the Company, which Securities are to be offered for sale from time to time by you. We, as counsel for the Company, have examined such corporate records, certificates and other documents, and such questions of law, as we have considered necessary or appropriate for the purposes of this opinion.
