This Third Amendment to the Second Amended and Restated Credit Agreement (this “Amendment”) is made as of the ______ day of January, 2016, by and among Bank of America, N.A., as Agent and a Lender (“Bank of America”), WELLS FARGO BANK, N.A., as a Lender (“Wells Fargo”), PNC BANK, NATIONAL ASSOCIATION, as a Lender (“PNC”), and HSBC BANK USA, NATIONAL ASSOCIATION, as a Lender (“HSBC”, and together with Bank of America, Wells Fargo, and PNC, the “Lenders”) and TRUEBLUE, INC., a Washington corporation (“First Borrower”) and the direct and indirect Subsidiaries of First Borrower identified on the signature pages hereof (such Subsidiaries, together with First Borrower, are referred to hereinafter each individually as a “Borrower”, and individually and collectively, jointly and severally, as the “Borrowers”).
