This ADMINISTRATION AGREEMENT (this "Agreement") is made and entered into as of the 1st day of April, 2007, by and between McCamish Systems, L.L.C., a Georgia limited liability company, having its principal address and place of business at 6425 Powers Ferry Road, Third Floor, Atlanta, Georgia 30339 (hereinafter referred to as "McCamish"); and Sun Life Insurance and Annuity Company of New York, a life insurance company registered under the laws of the State of New York, having its principal place of business at One Sun Life Executive Park, Wellesley Hills, Massachusetts 02481 (hereinafter referred to collectively as "Company").

This is a legal contract between the Policy Holder and Us, Sun Life Insurance and Annuity Company of New York (“the Company”, “we”, “our”). We agree to pay the benefits under this Group Policy according to its provisions. The Certificate Owner and Insured are named in each certificate.
