THIS AMENDED AND RESTATED SHAREHOLDER PROTECTION RIGHTS AGREEMENT (as amended from time to time, this "Agreement"), is made and entered into as of December 22, 2005, between Astec Industries, Inc., a Tennessee corporation (the "Company"), and Mellon Investor Services LLC, a New Jersey limited liability company, as Rights Agent (the "Rights Agent", which term shall include any successor Rights Agent hereunder).
