The undersigned hereby agrees to purchase directly from you, and you agree to sell to the undersigned, upon the terms and subject to the conditions set forth herein, at a per share price equal to the Purchase Price per Share (as hereafter defined), five million eight hundred nineteen thousand three hundred sixty seven (5,819,367) shares (the "Shares") of the Class B Common Stock, par value $.01 per share (the "Common Stock"), of Adelphia Communications Corporation, a Delaware corporation (the "Company").
