THIS RECEIVABLES PURCHASE AGREEMENT, dated as of February 19, 2013 (as it may be amended, supplemented or otherwise modified from time to time, this “Agreement”), is made by and between Parexel International, LLC, a Delaware limited liability company (the “Supplier”), the Investor (as defined herein), and JPMorgan Chase Bank, N.A., in its capacity as agent for the Investor, together with its successors and assigns (the “Investor Agent”).
