This SECOND AMENDED AND RESTATED CREDIT AGREEMENT (this “Agreement”) is entered into as of October 15, 2014, among PAREXEL INTERNATIONAL CORPORATION, a Massachusetts Corporation (the “Company”), certain Subsidiaries of the Company party hereto pursuant to Section 2.16 (each a “Designated Borrower” and, together with the Company, collectively, the “Borrowers” and, each, individually, a “Borrower”), certain Subsidiaries of the Company from time to time party hereto as Subsidiary Guarantors, each lender from time to time party hereto (collectively, the “Lenders” and, each, individually, a “Lender”), and BANK OF AMERICA, N.A., as Administrative Agent, Swing Line Lender and L/C Issuer.
