THIS NONQUALIFIED PERFORMANCE STOCK OPTION AGREEMENT (this "Agreement"), dated as of ___________, is entered into between HARMAN INTERNATIONAL INDUSTRIES, INCORPORATED, a Delaware corporation (the "Company"), and ____________________ ("Optionee").
