This 2012 Amended and Restated Employment Agreement (“Agreement”) is made and entered into as of April 24, 2012 to be effective as of April 24, 2012 (the “Effective Date”), by and among CEDAR FAIR L.P., a publicly traded Delaware limited partnership, CEDAR FAIR MANAGEMENT, INC., an Ohio corporation (“Cedar Fair Management”), MAGNUM MANAGEMENT CORPORATION, an Ohio corporation (“Magnum”), and DAVID HOFFMAN, an individual (“Executive”).
