THIS ACQUISITION AGREEMENT (“Agreement”) is made this 9th day of November, 2007, by and among SPENCE & MATHEWS, INC., a Maine corporation (the “Seller”), CRAIG O. LINSCOTT, a resident of North Berwick, Maine, and BRADLEY J. SCOTT, a resident of Acton, Maine (collectively, the “Shareholders”) and NORTHEAST BANK INSURANCE GROUP, INC., a Maine corporation (the “Purchaser”); and relates to the purchase and sale of substantially all of the assets, property, and undertakings of the Seller.
