This letter amends (with effect from and after July 4, 1996) the said letter agreement as follows: 1. The semicolon at the end of Subsection 7(b) is hereby deleted and replaced by a period and the following is added thereafter: "Notwithstanding the foregoing, Cineplex shall not be entitled to terminate your employment hereunder pursuant to Subparagraph 7(b)(ii) above if the conduct complained of is the same as, or is substantially similar to, conduct engaged in by other executives of Cineplex which has not given rise to complaint by Cineplex;". 2.
