This Separation Agreement (this “Agreement”) is made and entered into as of August 1, 2016 (the “Effective Date”), by and between Rick Morton (the “Executive”) and Teradata Corporation (the “Company”). The Company and Executive are sometimes collectively referred to herein as the Parties and individually as a Party. As used in this Agreement, the term “affiliate” shall mean any entity controlled by, controlling, or under common control with, the Company.
