THIS ISSUING AND PAYING AGENT AGREEMENT (the "Agreement") is entered into as of November 4, 2014 by and between U.S. Bank National Association (the "Bank") with offices at 100 Wall Street, Suite 1600, New York, New York 10005 and DENTSPLY International Inc.
