AGREEMENT, dated as of the 4th day of December, 2006, by and between Arrhythmia Research Technology, Inc., a Delaware corporation (“ART”) having an office and place of business at 25 Sawyer Passway, Fitchburg, Massachusetts 01420 (hereinafter, together with any consolidated subsidiary, referred to as the “Company”) and David A.
