Edison International, a corporation organized under the laws of the State of California (the “Company”), proposes to sell to the several underwriters named in Schedule I hereto (the “Underwriters”), for whom you (the “Representatives”) are acting as representatives, $500,000,000 principal amount of its 8.125% Fixed-to-Fixed Reset Rate Junior Subordinated Notes Due 2053 (the “Notes,” or the “Securities”), to be issued under the First Supplemental Indenture (the “Supplemental Indenture”) to be dated as of March 6, 2023, to the Indenture dated as of March 1, 2023 (the “Base Indenture” and, as supplemented by the Supplemental Indenture, the “Indenture”) between the Company and The Bank of New York Mellon Trust Company, N.A., as trustee (the “Trustee”).
