AGREEMENT dated as of the _____th day of ________________, 1996, between TEMPLETON VARIABLE PRODUCTS SERIES FUND, a Massachusetts business trust (hereinafter referred to as the "Trust"), on behalf of Templeton Developing Markets Fund, a series of the Trust (hereinafter referred to as the "Fund"), and TEMPLETON ASSET MANAGEMENT LTD.
