VISION GROUP OF FUNDS INVESTMENT ADVISORY AGREEMENT AGREEMENT made as of the 1st day of November, 2000 between VISION GROUP OF FUNDS, a Delaware business trust (the "Trust"), and Manufacturers and Traders Trust Company ("M&T Bank"), having its principal offices in Buffalo, New York (the "Investment Adviser").
