This JOINT OWNERSHIP AGREEMENT (this “Agreement”) is made and entered into as of the 28th day of September, 2011 (the “Effective Date”), by and among BANDYCO, LLC, FIRST SOUTHERN NATIONAL BANK, and UTG, INC., (each individually an “Owner”, collectively, the “Owners”) concerning one (1) Cessna 560 Encore aircraft serial number 560-0635 bearing U.S. registration number N535CE (the “Aircraft”). This Agreement replaces another Joint Ownership Agreement amongst the Owners dated as of August 5th, 2011.
