THIS LEASE AGREEMENT (the AAgreement@), dated as of July 1, 1999, by and between the KENTON COUNTY AIRPORT BOARD (the AIssuer@), a public body corporate and politic established as a local air board, constituting a political subdivision of the Commonwealth of Kentucky, duly organized and validly existing under the laws of the Commonwealth of Kentucky, including Chapter 183 of the Kentucky Revised Statutes, and MESABA AVIATION, INC., d/b/a/ Mesaba Airlines, a corporation duly organized and validly existing under the laws of the State of Minnesota, and duly qualified to do business in the Commonwealth of Kentucky (the ACompany@);
