This Amendment to that certain Participation Agreement ("Agreement"), is entered into by and among Eaton Vance Variable Trust (the "Trust"), a Massachusetts business trust, on its behalf and on behalf of each separate investment series thereof, whether existing as of the date hereof or established subsequent thereto, (each a "Portfolio" and collectively the "Portfolios"), Eaton Vance Distributors, Inc. (the "Underwriter") and Allianz Life Insurance Company of North America (the "Company") is effective this 1st day of September, 2015.

This Amendment is to the Fund Participation Agreement dated September 1, 2012 ("Agreement") between Allianz Life Insurance Company of North America, a life insurance company organized under the laws of the State of Minnesota ("Insurance Company"), on behalf of itself and on behalf of the Separate Account, as defined in Paragraph 1.15 of the Agreement, and each Participating Fund (as defined in the Agreement).
