Ramco-Gershenson Properties Trust, a Maryland real estate investment trust (the “Company”), proposes to issue and sell to the several Underwriters listed in Schedule G hereto (the “Underwriters”), for whom you are acting as representatives (the “Representatives”) 6,000,000 common shares of beneficial interest (the “Underwritten Shares”), par value $0.01 per share (the “Common Shares”), of the Company and, at the option of the Underwriters, up to an additional 900,000 Common Shares (the “Option Shares”). The Underwritten Shares and the Option Shares are herein referred to as the “Shares.”
