This Change of Control Severance Agreement (the "Agreement") is entered into by and between TOR MINERALS INTERNATIONAL, INC., a Delaware corporation (the "Corporation") with its office at 722 Burleson Street, Corpus Christi, Texas 78402 and MARK SCHOMP, the executive vice president of the Corporation (the "Officer").
