This Agreement made as of this 8th day of February, 2016 by and between Black Box Corporation, a Delaware corporation (the "Corporation"), and E.C. Sykes, an individual residing in the State of Texas and the President and Chief Executive Officer of the Corporation (the "Executive"), to be effective as of the Executive’s first day of employment, anticipated to be February 29, 2016.

In order to provide for an orderly transition, this letter agreement is to confirm our understanding regarding your separation from Black Box Corporation (“Black Box”) and its subsidiaries (the “Company”). Reference is hereby made to the Agreement dated April 1, 2013 by and between Black Box and you (“Your Agreement”). Black Box hereby advises you to have this letter agreement, including the Release Agreement (as defined below) attached hereto, reviewed by your attorney.
