THIS AMENDED AND RESTATED LOAN AND SECURITY AGREEMENT (as amended, restated, modified or otherwise supplemented from time to time, this “Agreement”) dated as of December 18, 2017 (the “Effective Date”), by and among (a) SILICON VALLEY BANK, a California corporation (“Bank”), and (b) HARMONIC INC., a Delaware corporation (“US Borrower”), and HARMONIC INTERNATIONAL AG, a company organized under the laws of Switzerland (“Swiss Borrower”) (US Borrower and Swiss Borrower are hereinafter individually referred to as a “Borrower” and collectively as “Borrowers”), provides the terms on which Bank shall lend to Borrower and Borrower shall repay Bank.
