This Employment Agreement (the “Agreement”) is made and entered into as of the 16th day of September, 2002 (the “Effective Date”), by and between Magnum Hunter Resources, Inc., a Nevada corporation (“Magnum Hunter”) and its affiliates, Gruy Petroleum Management Co., a Texas corporation and a wholly-owned subsidiary of Magnum Hunter, (collectively, the “Employer”) and M. Bradley Davis (“Employee”).
