THIS AMENDED AND RESTATED LOAN AND SECURITY AGREEMENT (this “Agreement”) dated as of March 13, 2014 (the “Effective Date”) between SILICON VALLEY BANK, a California corporation with a loan production office located at 230 Monroe Street, Suite 720, Chicago, Illinois 60606 (“Bank”), and XRS CORPORATION, a Minnesota corporation (formerly known as Xata Corporation, with offices located at 965 Prairie Center Drive, Eden Prairie, Minnesota 55344 (“Borrower”), provides the terms on which Bank shall lend to Borrower and Borrower shall repay Bank. This Agreement amends and restates in its entirety that certain Loan and Security Agreement, dated as of February 24, 2012, by and between Borrower and Bank (the “Prior Loan Agreement”).
