THIS AGREEMENT AND PLAN OF REORGANIZATION (the "Agreement") is made as of this 5th day of March, 2010, by and between MONEY MARKET OBLIGATIONS TRUST, a Massachusetts business trust, with its principal place of business at 4000 Ericsson Drive, Warrendale, PA, 15086 (the "Trust"), with respect to Government Obligations Fund, a series of the Trust (the "Acquiring Fund"), and the Trust, with respect to Federated Short-Term U.S. Government Trust, a series of the Trust ("Acquired Fund" and, collectively with the Acquiring Fund, the "Funds"). This Agreement is intended to be, and is adopted as, a plan of reorganization within the meaning of Section 368(a) of the United States Internal Revenue Code of 1986, as amended (the "Code") and the Treasury Regulations promulgated thereunder.
