This EXECUTIVE EMPLOYMENT AGREEMENT (this “Agreement”), is entered into and made effective this 21stday of August, 2006 (the “Effective Date”), by and between Universal Guardian Holdings, Inc., a Delaware corporation (the “Company”), and Randall A. Jones, an individual residing in Corona del Mar, California (the “Executive”). The Company and Executive are each referred to herein as a “Party” and, together, as the “Parties.”
